**PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE PLATFORM. BY CREATING AN ACCOUNT OR USING THE SERVICES PROVIDED BY Sports Playground OÜ (“We”, “The Platform”, “Sports Playground”, “Padel Playground”, “padelplayground.io”), YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE OUR SERVICES.

1. Definitions

    • Company/Platform: Refers to Sports Playground OÜ, including its subsidiaries, affiliates, and partners.
    • Hosts: Individuals or businesses that post and manage tournaments on the platform.
    • Players: Users who create accounts to view, register for, and participate in tournaments or leagues.
    • Tournament: A competitive event organized by a Host, for which teams register and compete.
  • League: A competitive event organized by a Host that consists of tournaments, for which teams register and compete.
  • Team: A pairing of two Players who register together for a tournament.
  • Payment Processing Fee: A fee applied to the team’s registration fees (including associated payment processing fees and refund)
  • Platform Fee: The Platform may apply a platform fee on tournament or league registration fees, which is borne by Players. This fee may be a fixed amount or a percentage and may vary by country or jurisdiction. The Platform reserves the right to change the platform fee amount or calculation method at any time.
  • Third-Party Providers: External service providers (such as Stripe, Firebase, Sentry, and Brevo) used for payment processing, analytics, data collection, and communications.

2. Account Registration & Verification

  • Players and Hosts: Both Players and Hosts must create an account using a valid email address and complete an email verification process.
  • Accuracy: All information provided during registration must be accurate and up to date. You are solely responsible for maintaining the confidentiality of your account credentials.
  • Eligibility: By creating an account, you confirm that you are at least 12 years old.

3. Tournament Listings, Registration, and Participation

3.1 Tournament Posting (Hosts)

  • Submission: Hosts may submit tournament details via the platform. Submitted tournaments will be automatically accepted and publicly visible.
  • Removal: The platform reserves the right to reject or remove any tournament that is not abiding to the terms of use. If a tournament is rejected, the Host may receive an optional note explaining the reason and may resubmit the tournament after addressing the noted issues.
  • Prohibited Activities – No Gambling or Betting
    All tournaments added to the platform must be effort-based competitions, meaning they rely on skill, strategy, or performance rather than chance. Any form of gambling, betting, or luck-based mechanics is strictly prohibited. This includes, but is not limited to:
    •Games of chance where outcomes are primarily determined by luck.
    •Betting on tournament results or outcomes.
    •Any form of wagering or financial speculation tied to tournament participation.
    •Sweepstakes, lotteries, or other gambling-style activities.
    We reserve the right to remove any tournament that violates these rules and take appropriate action, including account suspension or termination.
  • Tournament Details: Hosts must provide all relevant tournament details, including levels, prize money (pre-tax), cancellation deadlines, and any other applicable information.

3.2 Team Registration (Players)

  • Registration Process: If a player is registering to a tournament or league where the team consists of 2 individuals, a team is formed when one Player invites another and the invitation is accepted. Both team members must complete payment for the team to be considered registered. However, if the league or tournament’s team consists of only 1 player then a player can register directly on his own. 
  • Partial Payments: If only one team member pays by the registration deadline, the platform will refund the paid amount.
  • Cancellation by Players: Teams may cancel their reservation up until the cancellation deadline (or, if not defined, the registration deadline). Refunds for cancellations will be processed via our third-party payment gateway; however, please note that refunds may not be instant.
  • Validation of Legitimacy: Players register to leagues or tournaments at their own responsibility. It is the sole responsibility of the Players to validate the tournament and check that it is not a scam. Sports Playground OÜ is not responsible for ensuring that any tournament is legitimate, nor are we responsible for any money paid to a Host in the event of fraudulent activity.

3.3 Reporting Fraud

  • Reporting Obligation: If a player finds that a tournament or league is a scam, they must report it within the app immediately. Reporting enables the Platform to attempt to stop further fraud and recover any paid amounts. However, the Platform does not guarantee the recovery of funds.

4. Payment Terms, Refunds, and Payouts

4.1 Payment Process

  • Payment Processing & Payout Model: All registration fees are processed through a third-party payment provider (e.g., Stripe). Funds are kept in Stripe and Hosts receive payouts on a weekly basis, subject to Stripe’s processing timelines.
  • Padel Playground acts solely as an intermediary facilitating payments and registrations. The Platform does not verify or guarantee the legitimacy of tournaments or leagues and is not responsible for any money paid by Players to Hosts. Players register and make payments at their own responsibility.
  • Payment Processing Fee & Platform Fee: The Platform must clearly communicate the payment processing fees to the host. The Platform fee is borne by Players and may vary by country, amount, or calculation method (fixed or percentage).

4.2 Refunds

  • Refund Triggers: Refunds may be triggered under the following circumstances:
    • Only one team member has paid by the registration deadline.
    • A tournament (or a specific level) is canceled by the Host or by the Platform.
    • A team has cancelled before the cancellation deadline
  • Processing Time: Refunds are subject to processing times inherent to the third-party payment gateway.
  • Fraud & Scam Reports: If Players discover or suspect that a tournament or league is fraudulent, they must report it through the Platform. Upon receiving a report, the Platform may attempt to halt payouts and cooperate with Stripe to prevent further fraud or, where possible, return funds. The Platform does not guarantee that funds can be recovered.

4.3 Payout to Hosts

    • Weekly Payouts: Hosts receive payouts on a weekly basis through Stripe, provided payments have completed processing and no active disputes or fraud investigations exist. Payout timing is subject to Stripe’s processing rules.
    • If a tournament or league is reported as potentially fraudulent, payouts may be delayed or halted while an investigation is conducted.

5. Cancellation & Modifications

5.1 Host-Initiated Cancellations

  • Tournament Cancellation: A Host may cancel a tournament or specific tournament levels. If a tournament is canceled:
    • Registered teams will receive a full refund.
    • Teams that have been rejected by the Host may not reapply as the same team for that tournament; however, individual Players may join with a different partner for the same tournament level.
  • Deletion in Review: Hosts may delete a tournament that is still in review.

5.2 Player-Initiated Cancellations

  • Deadline: Players may cancel their reservation up until the cancellation deadline (or, if not defined, the registration deadline) to receive a full refund.

6. Live Tournament Data & Reviews

  • Data Input: During a tournament, live match scores, court numbers, and match times will be displayed on the platform. This data is provided by the Host. Optionally when allowed, players can also add court numbers, times, and result scores.
  • Ratings & Reviews: After tournament participation, Players may rate and review Hosts. Such ratings and reviews will be publicly displayed and may affect the Host’s ability to post future tournaments.

7. Use of Third-Party Services

  • Analytics & Communication: We utilize third-party services (including but not limited to Firebase, Sentry, and Brevo) for data collection, analytics, crash reporting, and email communications.
  • Payment Processing: Payments and identity verifications are processed through Stripe, which functions as an escrow service.
  • Consent: By using the platform, you consent to the processing of your data by these third-party providers in accordance with their respective terms and privacy policies.

8. Liability, Disclaimers, and Indemnification

8.1 General Disclaimer

  • Intermediary Role: The platform operates solely as an intermediary facilitating tournament listings and registrations. We are not a direct provider or organizer of tournaments, do not verify or guarantee their legitimacy, and are not responsible for money paid by Players to Hosts.
  • Accuracy of Data: We do not guarantee the accuracy or completeness of tournament details, live scores, match data, or any other information provided by Hosts.

8.2 Host Liability

  • Logistics and Injuries: Hosts are fully responsible for organizing tournaments, including court reservations, event logistics, and ensuring participant safety. Hosts assume all liability for any injuries, damages, or losses arising from the tournament.
  • Dispute Resolution: In the event of disputes relating to tournament outcomes, prize disbursements, or any organizational issues, the Host is solely responsible for resolving these matters with the Participants.

8.3 Platform Liability

  • Exclusion of Liability: To the maximum extent permitted by law, Sports Playground OÜ disclaims all liability for:
    • Injuries, damages, or losses incurred during tournament participation.
    • Inaccuracies or errors in tournament data inputted by Hosts.
    • Disputes arising between Players and Hosts regarding tournament outcomes, prize money, or refunds.
  • Third-Party Services: We are not liable for any failures or issues arising from the third-party services we use, including payment processing, analytics, or communications.
  • No Guarantee of Legitimacy or Payments: The Platform does not guarantee the legitimacy of any tournament or league and is not responsible for losses, damages, or funds paid to Hosts. Players assume full responsibility for verifying tournaments before registering.

8.4 Indemnification

  • User Obligations: By using the platform, you agree to indemnify and hold harmless Sports Playground OÜ, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising out of or related to:
    • Your use of the platform.
    • Any breach of these Terms.
    • Your involvement in any tournament (whether as a Player or a Host).

9. Suspension and Termination

  • Violation of Terms: We reserve the right to suspend or terminate accounts (both Players and Hosts) for any reason, including but not limited to violations of these Terms, abusive behavior, or any activity that jeopardizes the safety and integrity of the platform.
  • Effect of Termination: Upon termination, all rights granted to you under these Terms will immediately cease, and any outstanding obligations (such as pending payments or disputes) will survive termination.

10. Governing Law and Dispute Resolution

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of Estonia.
  • Dispute Resolution: Any disputes arising out of or related to these Terms or the use of the platform shall be resolved through:
    • Informal negotiations between the parties.
    • If unresolved, disputes shall be submitted to binding arbitration or, if necessary, resolved through litigation in a court of competent jurisdiction in Estonia.
  • Waiver of Class Actions: To the extent permitted by law, users agree to resolve disputes on an individual basis and waive any right to participate in a class action.

11. Amendments and Updates

  • Modification of Terms: We reserve the right to update or modify these Terms at any time. Users will be notified of significant changes through an in-app notice.
  • Review Period: It is your responsibility to review these Terms periodically to ensure you are aware of any changes. Continued use of the platform after any changes constitutes acceptance of the updated Terms.
